TERMS USED
Website - a distinct place on the global Internet network, accessible through its unified address (URL) by HTTP, HTTPS, or other standardized protocol and containing files, programs, text, sound, pictures, images, or other materials and resources.
Platform - An electronic system, accessible at www.ugcmasters.com, owned by UGC Masters Ltd. as the Administrator, through which services related to the creation of audiovisual content are offered to promote services and/or products of third parties.
Administrator - The person who manages and maintains the platform and, more specifically, UGC Masters Ltd.
User - a person who uses the website, and sends requests to the Administrator to obtain an offer and subsequent conclusion of a contract for the production of the services offered.
Contractor - an individual involved in the creation of audiovisual content and has a contract with the Administrator;
Candidate - an individual who wishes to be included on the list of potential contractors and has submitted an application form in the required format specified by the Administrator.
Lead Time - the time required by the Administrator to produce the advertised content, which ranges from 4-6 weeks depending on the volume of work ordered and the workload.
Working days - all days of the week, except those days that are statutorily designated as holidays.
Personal data - any information relating to an identified or identifiable living individual. Separate data which, when aggregated together, may lead to the identification of a specific individual also constitute personal data. Examples of such are first and last name, home address, email address, identity card number, location data, and Internet Protocol (IP) address.
Promotional material - a system of components to promote and attract public attention and interest in a product, service, or brand through audiovisual content to induce positive perception and increase the audience's willingness to consume.
Copyright - any work of literature, art, and science which is the result of creative activity and is expressed in any way and any objective form.
Distribution of work - the sale, exchange, donation, rental, and storage in commercial quantities, as well as the offer for sale or rental of originals and copies of the work.
Reproduction of a work - the direct or indirect reproduction, in one or more copies, of the work or a part of it, by any means and in any form, whether permanent or temporary, including its storage in digital form in an electronic medium.
Subject matter and website features.
Art. 1 (1) Ugcmasters.com is a platform providing a choice of services related to the creation of audiovisual content for advertising products and/or services.
(2) The platform provides an opportunity for individuals to submit a request for an application to participate in the creation of audiovisual content for a fee.
Art. 2 (1) Before using the information and commercial services offered by the Administrator, each person shall read the General Terms and Conditions of Use of the Site. Any person who has agreed to the General Terms and Conditions of the Site is obliged to comply with them and to exercise all the rights provided for therein.
(2) These Terms and Conditions (in whole or in part) shall apply whenever and in all cases when a natural or legal person visits this website to make use of the information content that is available and the functionalities that the platform provides. These General Terms and Conditions do not apply in the aforementioned situations unless a written agreement has been signed between the respective parties and/or otherwise agreed upon.
(3) The Administrator shall necessarily regulate all relations in connection with the services provided by signing a separate written contract, according to the type of service provided and the individual contracts with each client or contractor.
Consumer rights and obligations.
Art. 3 The user shall have the following rights:
- To get acquainted with and use the content of the site to get acquainted with the possibilities of promoting his business, the package services offered by the Administrator;
- To contact the Administrator in case of need for additional information about its services or if there is a problem with the use of the site;
- To fill in his/her data to send an inquiry to the Administrator and book a consultation appointment with a representative of the Administrator;
- To notify the Administrator in case of infringement of intellectual property rights.
- To submit an application form to be included in the list of contractors and to sign a contract with the Administrator;
Art. 4 The User has the following obligations:
- To use the website lawfully and in full compliance with these Terms and Conditions;
- Not to undertake any malicious acts or omissions that may interfere with or affect the functioning of the Website;
- Not attempt to gain unauthorized access to the servers maintained by the Administrator;
- Not to make available to third parties, for commercial or non-commercial purposes, any content, information, technology, or know-how that has been extracted from the website without the express permission of the Administrator;
- Not to copy, modify, reproduce, or distribute the information from this website for purposes other than those directly related to the purpose of the website, without the express prior written consent of the Administrator;
- Not to violate the rights and legitimate interests of the Administrator through malicious acts or omissions;
- When sharing information, it should be true, accurate, and up-to-date.
Administrator's rights and obligations.
Art. 5 The Administrator shall have the following rights:
- To promote its services through the platform by updating or changing the features of the services, terms, and conditions of the platform at any time and without prior notice;
- To share the information and personal data received from candidates and/or contractors to find potential clients;
- To collect information and personal data from applicants and users in connection with the audiovisual content creation services provided;
- To monitor compliance with these terms and conditions and to take such measures as it deems appropriate because of the specific breach, including restricting access to the platform;
- To send marketing and advertising messages to users, subject to their consent;
- To accept applications from potential contractors for inclusion on the Administrator's list, which it approves or rejects as it deems appropriate.
Art. 6 The Administrator undertakes the following:
- To ensure that the Platform complies with all applicable regulations, including those relating to the protection of personal data and privacy;
- To keep up-to-date the information on the platform relating to the services it provides and the conditions thereof;
- Ensure compliance with these terms and conditions by persons using the platform to protect the interests of third parties;
- Not to use the data collected from users, no matter how it is collected, for purposes other than those stated in the privacy policy;
- To indemnify users in the event of a material or non-material damage caused, in the presence of intentional acts attributable to it.
Consumer rights about data protection.
Art. 7 (1) The rights of consumers are following the legislation in force, in particular the Consumer Protection Act and REGULATION (EU) 2016/679 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL of 27 April 2016. Art. 8 All intellectual property rights in the software code, available databases, videos, photographs, images, illustrations, and descriptions located on the website are protected and may not be used in violation of the legislation in force.
Art. 9 (1) The right of access of users to the website of the Administrator does not include the right to use, copy or reproduce the information constituting an object of intellectual property.
(2) The rule of par. (1) shall not apply if the information in question is insignificant in volume and is intended for personal use for non-commercial purposes which in no way harms the legitimate interests of the authors or other holders of intellectual property rights.
Art. 10 (1) The Administrator shall have the right to prohibit a User's access by telephone, email address, or IP address if the latter infringes an intellectual property right of an intellectual property object contained on its website.
(2) In the event of a finding of infringement of intellectual property rights, the Company shall be entitled to claim compensation for all direct and indirect pecuniary and non-pecuniary damages in full, including the costs incurred for legal services and government fees paid.
Liability of the Administrator.
Art. 11 (1) The Administrator shall not be liable for any pecuniary and/or non-pecuniary damage suffered by the User or other persons in the event of inability to use the website unless it is proved that the User is exclusively at fault
(2) or in connection with the type of content presented; errors or damage due to viruses that may affect the User's computer equipment, software, data, or other property due to actions taken and accessing, using, or browsing the Website, or the User's downloading of materials from the Website or websites linked to the Website.
Art. 12 The Administrator shall not be liable for the content of the advertising material, including without limitation any error, omission, or inaccuracy therein.
Art. 13 The Website contains links to other websites and the Administrator is not responsible for the consequences of the provision of information by users when using these other websites.
Art. 14 The Controller shall be liable for failure to comply with its obligations to process data following the principles of data protection and for failure to ensure data protection.
Advertisements
Art. 15 The controller may provide the collected statistical information on the website traffic to advertisers and/or advertising agencies.
Art. 16 The controller reserves the right to place advertisements, banner advertisements, paid publications, and audiovisual content for advertising purposes to the attention of users when providing the services.
Transitional and final provisions.
Art. 17 (1) In the event of an update to these Terms and Conditions, we will notify users of the changes by posting them prominently on the website.
(2) The updated Terms and Conditions shall be effective for users if:
1. after express notice from the Administrator, the User does not, within the 14 days provided, state that it rejects them; or
2. following their posting on the Platform Site, the User does not, within 14 days of their posting, state that he or she rejects them; or
3. The User expressly agrees to them;
Art. 18 (1) If certain clauses of these General Terms and Conditions relevant to contracts or their annexes are declared invalid, this shall not affect the validity of the entire document.
(2) Invalid clauses shall be replaced by both parties with other valid ones that correspond to the meaning and purpose of the contractual provisions. In the event of disagreement as to their content, the statutory provisions governing similar relations shall apply by analogy.
Art. 19 All disputes between the parties shall be settled in a spirit of understanding and goodwill. If no agreement is reached, all outstanding disputes arising out of or relating to the contract between the parties, including disputes arising out of or relating to its interpretation, invalidity, performance, or termination, shall be settled by the court having jurisdiction.
(2) The consumer shall be informed of the possibility to resort in the event of a dispute to a conciliation commission under the Consumer Disputes Act (CPSA), a mediation procedure, EU online dispute resolution, or another alternative dispute resolution method.

As of 25 May 2018, the General Data Protection Regulation, or GDPR for short, adopted by the European Union comes into force. Art. 2 We collect and process your data in connection with the use of the platform of UGC Masters Ltd. and the conclusion of contracts for the production of advertising materials based on Art. 6 para. 1, Regulation (EU) 2016/679 (GDPR).
- Purposes and principles of the collection, processing, and storage of your data
Art. 3 (1) We collect and process the personal data you provide to us in connection with the use of the www.ugcmasters.com platform, the conclusion of a contract for the production of advertising content packages, and the conclusion of a contract with contractors for the creation of advertising content (videos, photos, etc.), including for the following purposes:
- Sending an inquiry and responding to it;
- Execution of the production contract;
- Execution of the advertising content production contract;
- Statistical and accounting purposes.
- Marketing and advertising purposes
(2) In processing your data, we comply with the following principles:
- Lawfulness, fairness, and transparency;
- Limitation of the purposes of the processing;
- Data minimization in line with the purposes;
- Limitation of storage to achieve the purposes;
- Data accuracy and timeliness;
- Integrity and confidentiality of processing and ensuring its security;
(3) In processing and storing personal data, the Controller may process and store personal data to protect its legitimate interests, such as the protection of a legal interest before the competent Bulgarian court, the performance of its obligations to the National Revenue Agency (NRA), the Ministry of the Interior (MIA) and other state and municipal authorities.
- What types of personal data does UGC Masters Ltd. collect, process and store from users of the platform?
Art. 4 (1) "UGC Masters" Ltd. performs the following operations with the personal data provided by you as customers of www.ugcmasters.com for the following purposes:
Sending a response to an inquiry sent to the Controller via the Platform;
Conducting a video call to potential customers;
Subsequent conclusion of a contract for the production of advertising materials;
Marketing strategies - for direct marketing purposes, individuals' data may be used to send offers, invitations, and information about products and services provided by UGC Masters Ltd.
(2) The Controller does not collect or process the personal data of users relating to the following:
- reveal racial or ethnic origin;
- disclose political, religious, or philosophical beliefs, or trade union membership;
- genetic and biometric data, health data, or data about sex life or sexual orientation.
(3) Personal data are collected by the Controller from the individuals to whom they relate.
(4) The Controller does not carry out automated decision-making with data.
(5) The Company does not collect data on persons under 16 years of age, except with the express consent of their parent or legal representative.
Art. 5 (1) The controller shall process the following categories of personal data and information for the following purposes and on the following grounds:

- Contacting the user and sending information to the user.
- Subsequent conclusion of a contract for the production of advertising materials and its implementation;

- What types of personal data does UGC Masters Ltd. collect, process, and store from contractors creating advertising content?
Art. 6 UGC Masters Ltd. carries out the following operations with the personal data provided by you as customers of www.ugcmasters.com for the following purposes:
- Applying to participate in the creation of audiovisual content for remuneration, through the platform of UGC Masters Ltd.
- Subsequent conclusion of a production contract with the contractor;
- Execution of the contract according to the criteria and needs of the respective client;
- Marketing strategies - for direct marketing purposes, individuals' data may be used to send offers, invitations, and information about products and services provided by UGC Masters Ltd.
Art. 7 (1) The controller shall process the following categories of personnel:
- First and last name;
- Email address and telephone number;
- Gender;
- Age;
- Physical (sports) condition and weight;
- Languages spoken;
- Hair and skin colour;
(2) Purposes for which the data is collected:
- Making contact with the potential performer;
- Subsequent conclusion of a contract for the production of promotional materials and its implementation;
(3) Basis for processing your data:
Your data for sending your information for applying for a contractor is processed based on your explicit consent and legal basis - Art. 6, para. (a) GDPR. After concluding a contract for the production of advertising materials, UGC Masters Ltd. processes and stores your data for contract performance and with a legal basis - Art. 6 para. 1 (b) GDPR.
- Storage period of your data
Art. 8 UGC Masters Ltd. shall retain your data only for the period necessary to achieve the purposes set out in this Policy and where it is under a legal obligation or has the right to retain it for a longer period. We determine the retention period by taking into account several factors, including the duration of service provision, if necessary to establish, exercise, or defend our legal claims, or whether we have a legal obligation to retain the data, the periods are as follows:
- 2 years for personal data shared by users on the website, subject to the user's explicit consent to share the relevant data
- 5 years upon the expiry of the limitation periods for claims set out in the Obligations and Contracts Act;
- 10 years under the Accountancy Act for the storage and processing of accounting data;
- 5 years for obligations to provide information to the court, competent state authorities, and other grounds provided for in the legislation in force;
- Data on clients and documents on transactions and operations carried out, as well as documents related to the establishment and maintenance of commercial or professional relations shall be kept for a period of 5 years (Article 171, paragraph 1 of the Tax Code).

Art. 9 Right of access to personal information - consumers and contractors have the right to obtain a copy of the personal information we hold about them, and information about how we use it.
Art. 10 (1) Right to rectification of personal information - users and performers of advertising content have the right to ask us to rectify the personal information we hold about them if it is inaccurate or incomplete.
(2) The user's and contractor's right to correct their personal information can be exercised by completing the following form: (https://www.ugcmasters.com/contacts) and sending it to the email address provided.
Art. 11 (1) The right to delete personal information - sometimes called the "right to be forgotten". This right enables users and contractors to request that their personal information be deleted or removed from our systems and records. However, this right only applies in certain circumstances.
(2) The user and contractor's right to request the deletion of personal information can be exercised by completing the following form: (https://www.ugcmasters.com/contacts) and sending it to the email address provided.
Art. 12 (1) Right to restrict the processing of personal information - users and contractors may request that we stop using their personal information. However, this right only applies in certain circumstances.
(2) This right applies if:
- you challenge the accuracy of the personal data, for a period that allows the Controller to verify the accuracy of the personal data;
- the processing is unlawful, but you do not wish the personal data to be erased, but only for its use to be restricted;
- The Controller no longer needs the personal data for the processing, but you require it for the establishment, exercise, or defence of legal claims;
- You have objected to the processing pending verification that the Controller's legitimate grounds override your interests.
Art. 13 (1) Right to data portability - allows you to receive your personal information in a format that allows you to transfer that personal information to another organization.

Art. 14 Right to object to the processing of personal information - You may object at any time to the processing of personal data by the Data Controller that relates to him, including if it is processed for direct marketing purposes.
Art. 15 (1) Right to withdraw consent to the processing of personal information - applies only where we process personal information based on your consent. If you do not wish all or part of your data to continue to be processed by the Company for any or all of the processing purposes, you may withdraw your consent to the processing at any time.
(2) The controller may ask you to verify your identity and identity with the data subject.

Art. 17 (1) to process your data and provide the service in its full functionality and because of your interests, the Controller may provide your data to the following processors:

- Employees of UGC Masters Ltd., who are responsible for the creation and processing of advertising materials;
- Employees of Ad Tech International Ltd who are responsible for carrying out correspondence with users and applicants;
- Employees in the accounting department and legal department;
- Hosting service provider;
(2) The aforementioned persons who process personal data shall comply with all legality and security requirements in their processing and storage.
Art. 18 (1) The controller shall not transfer your data to third countries unless you expressly agree. If the consent relates to a transfer, the Controller shall describe the possible risks of the transfer of the data to third countries in the absence of a solution for adequate protection and appropriate means of protection.
(2) As a general rule, your data is stored and processed throughout the European Union and the European Economic Area (EEA). If your data is transferred outside the European Union or the EEA, the transfer will be subject to any of the following safeguards:
- Binding corporate rules from the relevant supervisory authority;
- Based on standard contractual terms adopted by the European Commission;
- An approved code of conduct or certification mechanism in the presence of legally binding and enforceable obligations on the third-party processor.
(3) If we determine that one of these measures is not sufficient to provide an adequate level of protection, on a case-by-case basis, we will adopt additional technical and/or organizational security measures following the recommendations of the European Commission.
